Terms of Use — Cloudless Share

Thank you for using Cloudless Share!

The following terms and conditions (the "Agreement") govern all use of the Cloudless Share mobile application (the "App"). The App is developed and operated by Prayo, an independent product studio based in India ("Developer"). The App is subject to your (the "User") acceptance of all the terms and conditions contained herein.

BY USING OR ACCESSING ANY PART OF THE APP, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN.

The Developer reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of this Agreement at any time. It is User's responsibility to check this Agreement periodically for changes. User's continued use of the App following notification of any changes constitutes acceptance of those changes.

1. Age Restriction

User certifies that they are at least 13 years of age. User also certifies that they are legally permitted to use the App in their jurisdiction.

2. License

Subject to the terms of this Agreement, User is granted a non-exclusive, non-transferable, non-sublicensable, terminable license to download and use the App solely for the purposes for which the App is provided. This license is personal to User.

3. Description of Service

Cloudless Share is a privacy-first file sharing application that enables Users to:

  • Transfer files (photos, videos, music, documents, APKs, contacts, and other files) directly between devices using peer-to-peer WebRTC connections
  • Organize photos using on-device face recognition
  • Browse and select files from device storage

The App operates on a peer-to-peer model. Files are transferred directly between devices without being uploaded to or stored on any cloud server. A lightweight signaling server facilitates the initial connection between devices but does not handle file data.

4. Restrictions

User shall not, nor permit anyone else to, directly or indirectly:

  • Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code or underlying algorithms of the App (except to the extent restrictions on reverse engineering are prohibited by applicable local law)
  • Modify or create derivative works of any part of the App
  • Use the App for any purpose that is unlawful or prohibited by this Agreement
  • Submit false information through the App
  • Use the App to transmit malware, harmful content, or any material that violates the rights of others
  • Attempt to interfere with, disrupt, or compromise the signaling server or any infrastructure used by the App

5. User Content and File Sharing

The App allows Users to share files directly between devices. User is solely responsible for:

  • All content that is shared through the App
  • Ensuring that shared content does not infringe upon third-party rights
  • Ensuring that shared content complies with applicable laws and regulations
  • Maintaining backups of any important files

The Developer does not access, view, store, or monitor the contents of files transferred through the App. The peer-to-peer nature of transfers means files pass directly between User devices.

6. Privacy

The Developer's current Privacy Policy is available at Privacy Policy and is incorporated by this reference. Key points:

  • All file processing and face recognition happens on-device
  • No files are uploaded to or stored on Developer servers
  • No account registration is required
  • Minimal data collection (FCM tokens for push notifications, anonymized analytics)

7. Advertisements

The App may display advertisements through Google AdMob. The Developer may offer an option to remove advertisements through a one-time in-app purchase in the future. Ad display is governed by Google's advertising policies.

8. Intellectual Property

All title, ownership rights, and intellectual property rights in and to the App, including but not limited to the design, code, logos, and branding, are and shall remain the property of the Developer. User is granted only the limited license described in Section 2.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

THE DEVELOPER MAKES NO WARRANTY THAT:

  • THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • THE APP WILL NOT DAMAGE OR ALTER CONTENT
  • FILE TRANSFERS WILL ALWAYS COMPLETE SUCCESSFULLY
  • THE RESULTS OF USING THE APP WILL MEET USER'S REQUIREMENTS

10. Limitation of Liability

IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

  • LOSS OR CORRUPTION OF FILES DURING TRANSFER
  • INABILITY TO COMPLETE A TRANSFER
  • UNAUTHORIZED ACCESS TO A TRANSFER SESSION
  • ANY DAMAGES RESULTING FROM BUGS, COMPATIBILITY ISSUES, OR NETWORK CONDITIONS

USER ACKNOWLEDGES THAT PEER-TO-PEER TRANSFERS DEPEND ON NETWORK CONDITIONS AND DEVICE CAPABILITIES, AND ACCEPTS SUCH RISKS.

11. Termination

The Developer may terminate or suspend User's access to the App at any time, with or without cause. User may stop using the App at any time by uninstalling it. All provisions of this Agreement which by their nature should survive termination shall survive, including warranty disclaimers and limitations of liability.

12. Indemnification

User agrees to defend, indemnify, and hold harmless the Developer from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from or in connection with User's access to or use of the App, content shared through the App, or violation of this Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in India.

14. Modifications

The Developer reserves the right to modify this Agreement at any time. Changes will be posted on this page with an updated effective date. Continued use of the App after modifications constitutes acceptance of the revised terms.
